An empty block can generate bills long before it generates income. The budgeting mistake is assuming that interest must be deductible because the land is an investment or a future subdivision. Start with the cash you must fund, then have the tax treatment confirmed separately.
The vacant-land restriction comes before the tax saving
The ATO’s vacant-land guidance says holding expenses incurred from 1 July 2019 are generally not deductible unless an applicable exclusion or exception applies. Acquisition-loan interest, council rates and maintenance are examples. The restriction can apply even if you bought the land before that date.
Vacant is a tax test, not simply a visual description. Incidental residential fencing or a shed does not necessarily take land outside it. For residential premises built or substantially renovated during ownership, lawful occupation and rental availability also matter. Do not assume the first slab or completed roof changes the answer.
A subdivision intention is not a business finding
A genuine property-development business can have a different position. TR 2023/3, paragraphs 35–41, explains that qualifying business use or availability can remove the restriction, including land held for future development. Business status is factual, not something established by calling yourself a developer.
Trading stock is a related question, not a shortcut to an interest deduction. Under TD 92/124, resale purpose and commencement of a land-dealing business activity must both be present. Repeated purchases are unnecessary; a single development can qualify where a business has commenced. Simply hoping to subdivide does not establish both requirements.
There is another distinction: the ATO’s subdivision guidance allows for ordinary-income profit on a one-off commercial transaction even outside a business. That profit treatment does not, by itself, prove the business exclusion for vacant-land expenses.
Check the owner, not just the project name
The ATO lists unaffected entity categories, including corporate tax entities and certain funds and trusts. An individual, discretionary family trust or SMSF is not automatically covered by that entity exclusion. Relevant business-use exclusions still need consideration.
A separate landholding trust does not simply inherit a developer’s position. Other conditional pathways include certain business leasing, primary-production arrangements and exceptional circumstances. The latter generally requires a qualifying pre-existing structure affected by an event outside your control, with a three-year limit unless extended. Do not treat ordinary delays on an always-empty block as that exception.
Separate land interest from construction interest
TR 2023/3, paragraphs 24–27, distinguishes acquisition interest from interest associated with construction, repairs or renovation. The latter is not treated as a holding expense for this restriction, to the extent it relates to those works.
That does not automatically make construction interest deductible. Ordinary deduction requirements still apply. Ask your accountant to trace borrowing use and any necessary apportionment. Keep acquisition funding, construction drawdowns and private spending identifiable rather than putting every interest payment into one spreadsheet line marked deductible.
Cost base is not a current cash contribution
Some denied holding expenses may qualify for a CGT cost base. They are not automatically reimbursed or deductible later. The ATO’s cost-base guidance sets eligibility limits and excludes deductible amounts. Third-element ownership costs cannot be used to calculate a capital loss.
For land held as trading stock or on revenue account, ask which rules govern the expense instead of assuming a CGT worksheet applies. Keep invoices and loan records even where no current deduction is confirmed. A possible later tax consequence does not fund today’s interest bill.
A buying decision without an invented tax outcome
Imagine buying a vacant block personally while exploring a small subdivision. You intend to sell the lots, but business commencement and expense treatment remain unresolved. Your first budget assumes interest deductions will make the holding period affordable.
Rebuild that budget with the full cash outgoings and no assumed current tax benefit. Keep any adviser-confirmed tax effect on a separate, timed line. Then test a longer approval and holding period. If affordability depends on an unconfirmed deduction, pause the purchase decision rather than treating that deduction as available funding.
Make the holding schedule easy to review: identify each payment, when it falls due, what borrowing funded it and which assumption needs confirmation. Keep the gross cash requirement visible even after the accountant supplies tax advice. A deduction reduces taxable income where available; it is not repayment of the whole expense. The project still needs a credible source of cash while bills fall due.
Give the accountant a useful brief
You are not expected to solve this yourself. Engage a registered tax agent or accountant experienced in property development. Provide the proposed ownership structure, purchase purpose, activities already undertaken, intended exit, loan-use records and project timeline.
Ask them to confirm ordinary deductibility, whether the vacant-land restriction applies, the specific exclusion relied on, business and trading-stock commencement dates, allocation between expenses and periods, and any cost-base treatment. Ask when to revisit the answer if use or plans change, and how any confirmed tax effect should be timed in your cash budget.
- Owner and activity: identify the actual taxpayer, ownership structure, planned use and evidence of activities already undertaken.
- Expense and period: separate land-acquisition interest, construction borrowing, rates and other costs, with invoices and dates.
- Restriction and exclusion: ask which vacant-land provisions the adviser has considered and which facts support any exclusion relied on.
- Cash timing: ask when any confirmed tax effect could arise; keep the bills payable in the cash budget regardless.
- Fallback treatment: ask how denied expenses should be recorded without assuming they all enter a CGT cost base.
Key takeaway
Budget to carry the land before budgeting a tax benefit. Which holding bill would become difficult if the expected deduction were unavailable or its cash effect arrived later?

Frequently asked questions
Does planning a subdivision make my land interest deductible?
No automatic deduction follows from that intention. A registered tax agent must assess ordinary deductibility, the vacant-land restriction and any applicable exclusion. Proposed development, commenced business activity and trading-stock treatment are related but distinct questions.
Can one small project ever count as a land-dealing business?
It can. TD 92/124 says repeated acquisitions are unnecessary where a business has commenced for development, subdivision and sale. The facts and commencement timing still need assessment; neither the project’s small size nor a stated resale intention settles the answer.
Does a family trust get the same entity exclusion as a company?
A discretionary family trust is not automatically within the listed entity categories. Its actual business use, connections and other applicable exclusions need examination. A corporate trustee’s involvement does not justify assuming the trust has the corporate tax entity’s position.
Should land-acquisition and construction interest share one deduction assumption?
No. The ATO distinguishes acquisition-related holding interest from interest associated with construction, repairs or renovation for this restriction. Construction-related interest still needs an independent deduction basis. Give your accountant loan-use and drawdown records so any allocation is supported.
Can I put every denied holding expense into the cost base?
No. Only eligible amounts can be included under the relevant CGT rules, and deductible amounts cannot also be added. Third-element ownership costs cannot be used to calculate a capital loss. Revenue-account or trading-stock land requires the applicable treatment to be confirmed rather than an automatic CGT assumption.
